Corporate Governance
BOYNECLARKE's Corporate Governance Team is well-versed in the roles and responsibilities of board directors, trustees, and other individuals holding fiduciary positions.
Boards of Directors, whether in the profit or not-for-profit sectors, are held to increasingly more onerous and complex accountabilities in a variety of areas. However, good governance is not just about compliance. Organizations that take governance seriously will in fact be more effective. Smart decisions are made when there are good policies and procedures in place to ensure that the best information gets to the board.
We act for boards in many sectors, and also serve on boards.
The Corporate Governance Team provides advice and legal services in the following areas:
- Optimal corporate structures
- Roles and responsibilities
- Shareholder agreements
- Effective governance models
- Director and officer liability
- Independence and conflict of interest
- Public company governance and corporate disclosure requirements
- Compliance issues and risk management
- Corporate reporting
In addition to legal qualifications, Claire Milton holds the Institute of Corporate Directors ICD.D designation, earned after following a program of study and examination that leads to certification by the Institute as a "person competent to serve as a corporate director".
